Terms of Service

1. Introduction and Definitions
Welcome to POREanha (“Company”, “we”, “our”, “us”). Creating an account or using our services implies your agreement to these Terms of Service (“Terms”). If you do not agree, please refrain from using our services.

"Nucleic Acid Data" refers to any nucleic acid sequencing data that is uploaded by the customer for the Company to process as part of its offered data processing services.

​

"Metadata" refers to any associated data that is transmitted to the Company by the user alongside the Nucleic Acid Data or through additional forms submitted by the user through the website. This includes, but is not limited to, the names of files, size of files, date of upload, information about sequencing products used to generate the Nucleic Acid Data, sequencing machine information, and sequences used to barcode libraries.

"Data" refers to any combination of Nucleic Acid Data and Metadata.​

2. Services
Our platform allows users to upload Data for processing and analysis on their behalf. By using our services, you warrant that you have the necessary rights and permissions to upload such Data.

3. User Responsibilities

  • You must provide accurate and lawful Data.

  • You are responsible for maintaining the confidentiality of your account.

  • You must not upload any malicious or harmful files.

  • You agree that any Data has been deidentified in a manner consistent with the Health Insurance Portability and Accountability Act (HIPAA) or is otherwise not covered by HIPAA. POREanha cannot process data protected under HIPAA.

4. Data Privacy and Security​

  • We take reasonable measures to protect Data, but we do not guarantee absolute security.

  • We may transfer Data to third parties, such as cloud computing companies, for the purposes of performing the requested services.

  • We retain Nucleic Acid Data long enough to provide our services. This is deleted according to Section 17 of these Terms.

  • We retain Metadata according to Section 17.

  • We may use Data to improve our service, as long as such use is consistent with Section 17 of these Terms

5. Intellectual Property

  • You retain ownership of the Data you upload.

  • All website content, including branding and software, is owned by us or our licensors.

6. Promotions

  • We may offer promotions, discounts, or credits at our discretion. The terms and conditions of each promotion will be specified at the time of the offer.

  • Promotional credits have no cash value and cannot be redeemed for cash.

  • Promotional credits are non-transferable and may only be used on the account to which they were issued.

  • We reserve the right to modify or terminate promotions at any time without prior notice.

7. Payment and Refunds

  • Payments must be made in accordance with the pricing listed on our website.

  • All prices on the website are in USD.

  • If your payment method is in a different currency, your bank may apply conversion rates or fees.

  • Refunds will be granted at our discretion.

  • Promotional credits are non-refundable.

  • For refund inquiries, please reach out to support@poreanha.com.

8. Limitation of Liability

  • We are not liable for any loss or damage resulting from the use of our services.

  • We do not guarantee the accuracy or reliability of processing results.

9. Indemnification
You agree to indemnify, defend, and hold harmless POREanha, its affiliates, and its employees from any claims, liabilities, damages, losses, or expenses arising from:

  • Your use of the service.

  • Your violation of these Terms.

  • Any disputes related to your Data.

10. Acceptable Use Policy

  • Users must not engage in any illegal, harmful, or abusive activities while using our services.

  • Users must not attempt to reverse engineer, hack, or disrupt our platform.

  • Users must not perform any fraudulent activity including impersonating any person or entity, claiming a false affiliation or identity, accessing any other Service account without permission.

  • Users must not sell or otherwise transfer the access granted under these Terms.

  • Users must not attempt to do any of the acts described in this Section 10 or assist or permit any person in engaging in any of the acts described in this Section 10.

  • We reserve the right to suspend access to users found violating this policy.

11. Service Availability and Downtime

  • We strive to maintain uninterrupted service but do not guarantee constant availability.

  • We may perform maintenance or updates that result in temporary downtime.

  • We are not liable for losses due to service interruptions.

12. Termination

  • We reserve the right to suspend or terminate your access if you violate these Terms.

  • Users may terminate their accounts at any time. Contact support@poreanha.com for help with deleting your account.

13. Governing Law
These Terms shall be governed by the laws of the United States.

14. Compliance with U.S. Export Control Laws

  • Our products and services comply with U.S. export control laws.

  • We do not accept payments from individuals, entities, or countries subject to U.S. sanctions or trade restrictions.

15. Changes to Terms
We may update these Terms at any time. Continued use of our services constitutes acceptance of the updated Terms.

16. Security Breach Notifications

In the event of a security breach that affects your data, we will notify you via the email address you used to sign up for the account. We will take reasonable steps to address the breach and protect your data.

17. Data Deletion

We retain Nucleic Acid Data only long enough to provide our services. After the final data is made available to the user for download, we will delete all Nucleic Acid Data associated with the submission within 5 weeks from the servers we control.

​

In the event of account termination (whether by you or by us), we will delete all customer Nucleic Acid Data within 5 weeks of termination.

​

We retain Metadata indefinitely unless requested in writing by the user.

18. Pricing

We reserve the right to determine pricing for our services. We will make reasonable efforts to keep pricing information published on our website up to date. We encourage you to check our pricing page periodically for current pricing information. We may change the fees for our services, including additional fees or charges, if we give you advance notice of changes before they apply. We, at our sole discretion, may make promotional offers with different features and different pricing to any of our customers. These promotional offers, unless made to you, will not apply to your offer or these Terms.
